  1. Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Website and supersede all prior agreements and understandings.  

  1. Arbitration Clause

You and The Safe Cart agree that any dispute, claim or controversy arising out of or relating to these Terms of Use, your use of the Services, or any other interactions with The Safe Cart (collectively, “Disputes”) shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single neutral arbitrator in [City, State] or, if the parties agree, by telephone, video conference, or based on written submissions. Judgment upon the arbitrator’s award may be entered in any court having jurisdiction. Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction to protect its rights pending arbitration. This arbitration agreement shall be governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq., and survives termination of these Terms.

You agree to indemnify, defend, and hold harmless The Safe Cart, its affiliates, officers, directors, employees, agents and licensors (collectively, “The Safe Cart Parties”) from and against any and all claims, liabilities, losses, damages, judgments, awards, penalties, fines, costs and expenses (including reasonable attorneys’ fees and costs of investigation) arising out of or relating to: (a) your breach of these Terms of Use; (b) your use of or reliance upon the Services, including any content you submit or make available through the Services; (c) your violation of any law, regulation or the rights of any third party; or (d) any negligent or willful misconduct by you. The Safe Cart Parties reserve the right, at their own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with The Safe Cart Parties’ defense of such claim.
